The IT Check – Terms and Conditions of Service1. Definitions“The IT Check” refers to IJD Holdings Ltd trading as The IT Check.“Client” refers to the organisation or individual engaging The IT Check’s services.“Services” refers to IT cost, supplier and security review services, or any related consultancy work provided by The IT Check.“Agreement” means the contract formed when the Client accepts a quotation, order form, or proposal from The IT Check.2. Scope of ServicesThe IT Check provides independent IT and cyber reviews, recommendations, and advisory services only.Services are limited to analysis and reporting. The IT Check does not carry out live system changes or act as the Client’s managed service provider.Deliverables will be set out in each quotation or order form.3. Client ResponsibilitiesThe Client agrees to provide timely, accurate, and complete information, documents, and access required to carry out the Services.The Client remains responsible for decisions, actions, or changes taken as a result of The IT Check’s recommendations.The Client is responsible for ensuring that any third-party approvals (for example, suppliers or administrators) are obtained if required.4. Fees and PaymentUnless otherwise agreed in writing, fees will be as set out in the quotation or order form accepted by the Client.All fees are quoted exclusive of VAT. VAT will be applied if and when The IT Check becomes VAT registered.Invoices are due for payment within 14 days of the invoice date unless otherwise agreed.Late payments may be subject to statutory interest and recovery costs in accordance with the UK Late Payment of Commercial Debts Act 1998.5. ConfidentialityBoth parties agree to keep confidential all information disclosed in the course of the engagement which is not already publicly available.Confidential information shall only be used for the purposes of providing or receiving the Services.6. Data ProtectionThe IT Check will process any personal data in compliance with UK GDPR and the Data Protection Act 2018.The Client remains the data controller for its own systems and data.7. Intellectual PropertyAll reports, documents, and recommendations produced by The IT Check are for the Client’s internal use only and must not be shared externally without prior written consent.Copyright and all other intellectual property rights remain with The IT Check unless expressly assigned in writing.8. LiabilityThe IT Check shall exercise reasonable care and skill in the provision of Services.To the maximum extent permitted by law, The IT Check’s liability is limited to the total fees paid by the Client for the Services under the Agreement.The IT Check shall not be liable for indirect, consequential, or special losses, including loss of profits, revenue, or goodwill.9. TerminationEither party may terminate the Agreement by written notice if the other materially breaches these Terms and fails to remedy within 14 days.The IT Check may terminate immediately if the Client fails to pay any fees when due.10. Governing LawThese Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.The courts of England and Wales shall have exclusive jurisdiction over any disputes.11. GeneralThese Terms and Conditions, together with any quotation or order form, constitute the entire agreement between the parties.No variation shall be valid unless agreed in writing.If any provision is found invalid, the remaining provisions shall remain in force.End of Terms and Conditions
